Agreement Terms
Payment. All fees billed in advance and non-refundable. Monthly retainers secure dedicated agency resources and remain due regardless of client delays, approval holds, or interruptions. Late payments incur 1.5% per month after 14 days. Services may be suspended after 30 days past due.
Term. Agreement term is twelve (12) months and is non-cancelable during the initial term. Upon completion of the term, services conclude unless a new written agreement is executed by both parties. Client Responsibilities. Client will provide timely approvals, content, assets, access, and communication. Delays caused by Client may impact performance and delivery timelines.
Confidentiality. Both parties agree to maintain confidentiality of proprietary information.
Intellectual Property. Agency retains ownership of pre-existing methodologies, systems, templates, and processes. Upon full payment, Client receives a non-exclusive license to use deliverables. Indemnification. Client agrees to indemnify Agency for claims arising from Client materials, business practices, or misuse of deliverables. Performance Disclaimer. Agency makes no guarantee regarding leads, sales, traffic, ROI, policy volume, revenue, or business results.
Refunds & Chargebacks. All payments are final and non-refundable. Chargebacks constitute a material breach of the Agreement and Client is responsible for associated costs and legal fees.
Liability Limitation. Agency shall not be liable for indirect or consequential damages. Total liability shall not exceed fees paid within the preceding 30 days. Dispute Resolution & Governing Law.
Exclusive venue shall be Palm Beach County, Florida. Florida law governs this Agreement.
Farmers Compliance Disclaimer. Client is solely responsible for compliance with Farmers Insurance requirements, carrier guidelines, and insurance advertising regulations.
